甲方: 功有限公司(Sing Kung Limited)
乙方: 華工程長春有限公司
甲方作為BT投資方獲得“產(chǎn)業(yè)園區(qū)城市基礎設施路（管）網(wǎng)工程BT模式投資建設”項目。乙方具備市政一級施工總承包資質(zhì)采用小BT方式與甲方合作進行施工。為此，依照《中華人民共和國合同法》、《國務院關于投資體制改革的決定》及國家有關BT模式建設的政策、法律、法規(guī)，遵循平等、自愿、公平和誠實信用的原則，甲、乙雙方就本工程BT建設施工等事項協(xié)商一致，訂立本合同，雙方共同遵守。
一、項目概況
1、項目名稱：產(chǎn)業(yè)園區(qū)道路及其管網(wǎng)等基礎設施BT建設項目
2、項目地點：產(chǎn)業(yè)園區(qū)
3、項目內(nèi)容及范圍：石材產(chǎn)業(yè)園區(qū)城市基礎設施路（管）網(wǎng)工程BT模式投資建設項目的施工范圍包括吉林蛟河天崗石材產(chǎn)業(yè)園區(qū)道路及上、下水管網(wǎng)、橋涵、護坡及道路附屬工程等，具體以雙方商定的內(nèi)容為準。
4、資金規(guī)模與來源：資金規(guī)模最終以工程結算為準。甲乙雙方采用小BT模式建設。
二、合同工期和延誤責任
1、合同工期 自2007 年4月 15日開始，至 2008年 8月30日完成，其中每一條道路開工日期以施工許可證及開工報告時間為準。
2、延誤責任 雙方約定，除因不可抗力外，如果2008 年8月30日乙方不能完成全部項目施工任務，導致甲方不能如約移交，乙方則無條件撒出該項目，同時甲方只向乙方支付實際施工款的10%，不承擔其它任何費用，乙方也不另外索賠。因甲方材料款不按時到位而造成的工期延誤乙方不負責
三、工程款和計算辦法
1、工程款計算：首先，根據(jù)“吉林省２００6年市政工程定額”以及相關的配套文件和規(guī)定，把吉林市信息站公布的同期各種材料價格作為計價標準，依據(jù)施工圖紙和簽證工程量進行計算，報經(jīng)甲方審核、并報經(jīng)政府部門進行審計確認后作為計價基數(shù)；然后，該計價基數(shù)的70%即是甲方回購乙方的工程價款。
除上述之外的其他部分，由甲方與政府另行結算，與乙方無關。
2、執(zhí)行“吉林�。玻埃�6年市政工程定額”時的原則：（1）“吉林省２００6年市政工程定額”中所列的各項均取，不進行調(diào)整；（2）所列項中有上、下浮動取值范圍的按最高值計�。唬�3）材料價格按施工期的吉林信息站公布的材料價格作為計算價；（4）如果某項材料不在信息站材料表之列，根據(jù)市場情況由信息站出具可信證明。

" project " that the project BT mode of the network is invested in the construction of that (in charge of ) of infrastructure way of industry's garden of stone material of hillock of day of Jiaohe River of Jilin that Party A gets as BT investor ". Party B possesses one grade of municipal administration and constructs and always contracts qualification and adopts small BT way and constructs by cooperating with Party A . For this reason, according to " contract law of the People's Republic of China " , " decision about the system reform of investment of the State Council " and national policy , laws and regulations about mode construction of BT, follow the equal , voluntary , fair and honest and trustworthy principle , both sides , on consensus that this project BT build the item of constructing etc., concluding a contract, both sides observe together.
